In this context, companies that remain inactive or in prolonged non-compliance may face the risk of suspension of corporate rights, provisional dissolution, and even permanent cancellation.<\/p><h5><strong>Application \u2013 relevance<\/strong><\/h5><p>In accordance with Executive Decree 905 of September 20, 2019, and Law 52 of February 27, 2016, which amended provisions of Law 32 of 1927 on Corporations of Panama, corporations that fail to pay the annual Single Tax for a period of three (3) years from the date of their registration in the Public Registry of Panama may be subject to suspension of their corporate rights. This suspension means that the corporation will not be able to perform certain legal acts, such as registering documents in the Public Registry or carrying out procedures before administrative authorities.<\/p><p>Panamanian law mandates that all companies maintain a Resident Agent, who must be a lawyer or law firm licensed in Panama. If a company remains without a Resident Agent, whether due to resignation or removal without a replacement being appointed within ninety (90) calendar days, registration and administrative consequences may arise, including the suspension of the company&#8217;s corporate rights until the situation is rectified. This period begins to run depending on the specific circumstances:\u00a0<\/p><ul><li>From the date of registration of the resident agent&#8217;s resignation.<\/li><li>From the date of registration of the dissolution or termination of the existence of the law firm listed as the resident agent.<\/li><li>From the date of death of the individual listed as the resident agent.<\/li><\/ul><p>The supervision and implementation of these measures primarily involves the General Directorate of Revenue of Panama, the entity responsible for collecting the Single Tax, as well as the Public Registry, which manages the official registry of companies and reflects in its registry entries the status of compliance with these obligations.<\/p><h5><strong>Effects<\/strong><\/h5><p>When a company remains in default for an extended period of three (3) years and does not regularize its situation, including the lack of a Resident Agent for a period greater than ninety (90) calendar days, the following consequences may arise:<\/p><ul><li>Suspension of corporate rights, limiting the company&#8217;s ability to perform registered acts.<\/li><li>Difficulties in managing or transferring assets registered in the company&#8217;s name.<\/li><li>Obstacles to share sales, corporate reorganization, or liquidation processes.<\/li><li>Reputational or compliance risks for international corporate groups.<\/li><\/ul><p>While the reactivation of suspended companies is permitted through the payment of outstanding obligations, corresponding surcharges, and the regularization of the resident agent&#8217;s situation, this process can generate delays, additional costs, and operational contingencies, especially when the company is part of corporate structures used for investments or asset holding.<\/p><h5><strong>Provisional dissolution and definitive cancellation<\/strong><\/h5><p>The legislation allows for the State to order the provisional dissolution of a company, and once registered, the company has two (2) years to be reactivated. This process aims to remove from the registry those companies that have remained inactive or in default for a period of three (3) years from the date of their registration.<\/p><p>Once two (2) years have elapsed without the company being reactivated or its registration regularized, the Public Registry will proceed with the definitive cancellation of the company&#8217;s registration.
